Sphere Services Terms and Conditions

Welcome to Sphere! These Terms and Conditions ("Terms") govern your access to and use of the Sphere, Sphere Account and Sphere Kit platform and services ("Services") provided by Project Quik ("we", "us", "our"). If there is a conflict between these terms and additional terms applicable to a given service, the additional terms will control for that conflict. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use our Services.

1. Acceptance of Terms

By accessing or using the Services, you confirm that you are at least 13 years old or the minimum legal age in your country, and that you agree to these Terms. If you are using the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Services Provided

The Sphere Account allows you to sign in to Sphere Kit-powered games, and communicate with friends, see achievements and receive game announcements through the Sphere app outside of games.

Sphere Kit provides a platform for indie developers to create online games and integrate various functionalities such as user authentication, achievements, database, multiplayer integrations, transactions, advertising, and analytics. Our Services also include access to detailed documentation and tutorials to assist developers in using the platform.

3. User Accounts

To access certain features of the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are prohibited from:

All intellectual property rights in the Services and its content, including but not limited to software, documentation, and tutorials, are owned by Project Quik. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services to connect to games and communicate with other users. You may not reproduce, distribute, modify, or create derivative works based on our intellectual property without our express written permission.

We collect and use analytics data to improve our Services. This includes data on monthly active users, time spent on games, clicks on pages, achievement rates, conversion rates, and real-time user metrics. By using our Services, you consent to the collection and use of this data.

7. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, including but not limited to a breach of these Terms. Upon termination, your right to use the Services will immediately cease.

8. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Services, including but not limited to the accuracy, reliability, or availability of the Services.

9. Limitation of Liability

In no event shall Project Quik be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; or (c) unauthorized access, use, or alteration of your transmissions or content.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
