1. Introduction and Acceptance of Terms
This document, formally titled "Sphere Kit Public Beta Terms and Conditions", governs your voluntary participation in the public beta program for Sphere Kit, which is an unreleased and experimental product. Your participation is granted solely for the purposes of evaluating the product and providing feedback to us. By accessing, using, or registering for Sphere Kit, you explicitly indicate your understanding and agreement to be legally bound by these Terms and Conditions.
The Company providing Sphere Kit is Project Quik Private Limited, encompassing any relevant legal entities or trade names. These Beta Terms are designed to supplement any general terms of service, privacy policies, or other agreements you may have with us, such as the Sphere Services Terms and Conditions and the Sphere Privacy Policy. In instances of direct conflict concerning the Beta Services, these Beta Terms will take precedence.
2. Key Definitions
To ensure clarity, the following terms are defined as used throughout this document:
- "Sphere Kit" refers to the specific software application, platform, and any associated services, documentation, or materials we provide to you for beta testing.
- "Beta Program" denotes the limited-time, experimental phase during which Sphere Kit is made available to selected users for evaluation and feedback before its potential general commercial release.
- "Beta Tester" or "You" refers to you, the individual or entity (and your authorised employees, if applicable) granted access to Sphere Kit under these Terms and Conditions.
- "Company" or "We" refers to Project Quik Private Limited, the developer and provider of Sphere Kit.
- "Active Player" is a specific, measurable metric for billing purposes, defined as a unique user ID that logs into your Sphere Kit game in the billed month.
- "Confidential Information" encompasses all non-public information related to Sphere Kit, such as beta program credentials, any cybersecurity vulnerabilities and any proprietary information we disclose to you.
- "Feedback" includes any ideas, suggestions, bug reports, error identifications, improvements, modifications, or other information, whether oral or written, you provide to us regarding Sphere Kit.
3. Eligibility and Participation in the Beta Program
This section outlines the conditions for your participation, the experimental nature of Sphere Kit, and your acknowledgment of its beta status.
Your participation in the Beta Program is subject to specific eligibility criteria, such as being an invited individual or entity, and your agreement to actively provide feedback. Sphere Kit, as a pre-release, experimental product, is provided strictly "AS IS" and "AS AVAILABLE". This means it may contain bugs, errors, design flaws, or other problems, and may not be fully functional, reliable, or secure. We provide no guarantees regarding Sphere Kit's uptime, performance, accuracy, or security, or its eventual commercial release. We do not provide any Service Level Agreements (SLAs) for Sphere Kit during this Beta Program but will maintain uptime to our best effort.
You acknowledge and assume all risks and costs associated with your use of Sphere Kit. This includes, without limitation, any internet access fees, backup expenses, costs incurred for the use of your devices and peripherals, and damage to or loss of any equipment, software, information, or data.
Furthermore, you will be eligible for priority support for Sphere Kit during the Beta Program, which includes scheduling video meetings with the development team at our convenient time slots, and getting answers for any questions within three business days. While your feedback is highly encouraged, formal support channels may be limited or non-existent. You are not recommended to use Sphere Kit for any live or production data, mission-critical operations, or any purpose other than evaluation and feedback. You are solely responsible for maintaining and protecting all your data and information processed by Sphere Kit.
4. Grant of License and Permitted Use
This section clearly defines the limited rights we grant you to use Sphere Kit and establishes the boundaries of that use, safeguarding our intellectual property.
We grant you a revocable, non-exclusive, non-transferable, limited license to install and use Sphere Kit solely for the purpose of your evaluation and providing feedback to us during the Beta Program. However, this license to use Sphere Kit allows you to use it for commercial or general business purposes.
You are explicitly prohibited from the following activities:
- Reverse engineering, decompiling, disassembling, or attempting to discover the source code or underlying structure of Sphere Kit.
- Selling, sublicensing, leasing, renting, distributing, or otherwise transferring or making Sphere Kit available to any third party.
- Removing, altering, or obscuring any copyright, trademark, or other proprietary notices from Sphere Kit.
5. Billing and Payment Terms
This section details your financial obligations, specifically addressing usage-based billing, invoicing procedures, and accepted payment methods.
When using Sphere Kit, you are eligible to upgrade to the “Pro Tier”, which is a paid tier that allocates pooled resources based on your number of “Active Players," as defined in Section 2 of these Terms and Conditions, for a fee.

Fees for your use of Sphere Kit during the Beta Program will be calculated monthly based on your number of Active Players. Billing will be invoiced monthly. All prices are in United States Dollars. The applicable rates for "Active Players" are set forth in this pricing plan:

If your game’s usage exceeds the pooled resources allocated, you will be charged overages for your additional usage according to this plan:

We reserve the right to modify this pricing plan upon reasonable notice for future billing cycles.
We will generate and issue an invoice to you on a monthly basis, detailing the calculation of fees based on the preceding month's Active Player count and any overages. More information is displayed in the Sphere Kit Dashboard when upgrading to the Pro Tier. All invoices are payable by the stored payment method in the Sphere Kit Dashboard. Payment for all undisputed fees is due within thirty (30) days from the date of the invoice.
In the event of overdue payments, a late fee of one and one-half percent (1.5%) per month or the maximum rate permitted by law, whichever is lower, may be applied to the outstanding balance. It is clarified that all stated fees are exclusive of applicable taxes (e.g., sales tax, VAT, GST), and you are solely responsible for paying all such taxes.
We reserve the right to remove your access to Sphere Kit at any time if we believe there is abuse of our services due to excessive resource utilisation or any other reason. This policy is subject to change in future beta phases or commercial releases.
6. Intellectual Property
This section firmly establishes our ownership of Sphere Kit and all related intellectual property, as well as our rights regarding your feedback.
You acknowledge and agree that all intellectual property rights, including but not limited to copyrights, patents, trade secrets, trademarks, and any other proprietary rights in and to Sphere Kit, its design, features, functionality, and underlying technology, are and shall remain our sole and exclusive property. You acquire no ownership interest or rights in Sphere Kit beyond the limited license granted herein or in the LICENSE or LICENSE.md document found in the respective packages or repositories.
We highly value and encourage your Feedback regarding Sphere Kit. You hereby irrevocably assign and transfer to us all right, title, and interest in and to any Feedback you provide, including all intellectual property rights therein. We are free to use, reproduce, modify, adapt, publish, license, distribute, and exploit your Feedback without any obligation or compensation to you.
We reserve the right to monitor your use of Sphere Kit and may utilise the collected information to improve Sphere Kit or other products and services.
7. Marketing
When you provide information such as your profession, organisation, purpose of using Sphere Kit, and other responses in the public beta application form, you consent to the use of these responses (anonymised) for marketing campaigns.
If you have selected the option to receive updates on Sphere Kit’s development and promotions, you agree to receive product and feature-related newsletter emails in your registered Sphere Account email.
Anonymous usage information from your use of Sphere Kit services may be used for marketing purposes to better understand our users. We are committed to protecting you and your players’ privacy, and therefore, no data stored in the Sphere Kit Database will be used for marketing purposes.
8. Confidentiality
This section outlines your strict obligations to protect the confidential nature of Sphere Kit and the Beta Program.
You agree to maintain the strictest confidentiality regarding all Confidential Information and to use it solely for the purpose of participating in the Beta Program as outlined in these Terms and Conditions.
You shall not disclose any Confidential Information to any third party without our prior written approval. While you may use Sphere Kit within your company with authorised employees directly involved in testing, any external sharing requires explicit permission. You shall take all reasonable security precautions to prevent the Confidential Information from being seen or used by unauthorised individuals, including safeguarding all credentials for Sphere Kit. Unauthorised release of this information could cause irreparable damage to our competitive and intellectual property interests.
9. Service Limitations and Termination
This section addresses our rights to manage, modify, and terminate your access to Sphere Kit, particularly in response to service abuse or other necessary circumstances.
We reserve the right to modify Sphere Kit, including its features, functionality, and availability, at any time in our sole discretion, with or without notice, and without liability to you. Your continued use of Sphere Kit after any modifications signifies your acceptance of the updated terms.
These Beta Terms will apply to Sphere Kit until its general commercial release (General Availability or "GA") or its discontinuation. We may terminate, suspend, deny access to, or limit your use of Sphere Kit at any time in our sole discretion, with or without cause, with or without notice, and without liability to you. This includes, but is not limited to, situations where we believe there is abuse of our services or a violation of these Terms and Conditions. We shall have no liability to you as a result of any such suspension or termination.
Upon termination of the Beta Program or your participation, you shall promptly (within 10 days) return or destroy all Confidential Information, and erase all portions thereof from computer memory.
10. Disclaimer of Warranties and Limitation of Liability
This section provides critical legal protections for us, limiting our responsibility for damages arising from your use of the experimental software.
You hereby acknowledge and agree that Sphere Kit is provided by us on an "AS IS" and "AS AVAILABLE" basis, and your access to, participation in, and/or use of Sphere Kit is at your sole risk. To the maximum extent permitted by applicable law, we disclaim all warranties and conditions of any kind, whether express, implied, or statutory, including, but not limited to, those of merchantability, satisfactory quality, title, fitness for a particular purpose, and non-infringement. We make no warranty that Sphere Kit will meet your requirements, or that it will be uninterrupted, timely, secure, or error-free. No information or advice, whether oral or written, obtained by you from us or through Sphere Kit shall create any warranty not expressly made herein. Any material and/or data downloaded or otherwise obtained through the use of Sphere Kit is done at your sole discretion and risk, and you will be solely responsible for any damage to your computer system and/or loss of data that results from the download or use of such material and/or data.
To the maximum extent permitted by applicable law, in no event shall we or our affiliates be liable for any indirect, special, consequential, incidental, exemplary, or other damages related to Sphere Kit, whether direct or indirect, including but not limited to loss of data, income, opportunity, lost profits, and costs of recovery, however caused and based on any theory of liability. This comprehensive limitation of liability reflects the allocation of risk negotiated and agreed to by the parties. Our maximum aggregate liability under these Terms and Conditions shall not exceed Fifty Singapore Dollars ($50.00).
11. General Provisions
This section includes standard legal clauses that govern the overall interpretation and enforceability of this agreement.
- Governing Law and Jurisdiction: These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts of the Republic of Singapore, and both parties hereby irrevocably consent to the personal jurisdiction and venue therein.
- Severability: If any provision of these Terms and Conditions is found to be inconsistent or invalid under applicable laws, that provision will be deemed void and removed from these Terms and Conditions. All other provisions will remain in full force and effect.
- Entire Agreement: These Terms and Conditions, together with any referenced schedules or policies, constitute the entire agreement between you and us regarding Sphere Kit and supersede all prior proposals, agreements, representations, and understandings, whether written or oral.
- Waiver: Our waiver of any breach or default under these Terms and Conditions will not constitute a waiver of any other right hereunder or of any subsequent breach or default.
- Assignment: You may not assign or transfer these Terms and Conditions or any rights or obligations hereunder without our prior written consent.
- Notices: All notices required or permitted under this Agreement will be in writing and delivered in person, by confirmed facsimile transmission, by electronic mail, or by overnight delivery service, and in each instance will be deemed given upon receipt.
